Terms and Conditions for Designers

Welcome to flipnook.com. Terms and Conditions for Designers are in addition to the EULA and Terms of Service that are applicable for all the users of flipNook website, application and service. You must read these documents to ensure you are in agreement with the details before using flipNook interior and landscape decoration platform (the “Platform”). flipNook in its sole discretion, without any obligation and without any notice may change, improve or correct the information available on the Platform, deny and/or end your access to the Platform. Please re-visit EULA and Terms of Service, T&C for Designers on flipNook.com to stay updated with any changes that we may introduce.
The agreement between you (a designer) and flipNook is subject to the following terms and conditions:
You agree to showcase your own and authentic interior/landscape decorations design rendering images, blog content and ideas. We respect the intellectual property of others, and we ask you to do the same.
The images of items being advertised through your content on flipNook (design, blog, posts on flipNook website) are the property of merchants and the sole purpose of using the items in your design is to advertise themerchant items.
You understand that flipNook.com advertises merchant items put together in the form interior and landscape design, since this tremendously helps homeowners visualise how items will look before buying them. In other words, flipNook is an eco-system that (1) helps homeowners create beautiful spaces (2) provides product advertising opportunities for merchants and (3) enablesyou to showcase your interior/landscape designing skills.
The free designs with shopping lists and blogs are intended to showcase your skills and expertise. Items used in the designs and blogs can go out of stock on merchant websites. Therefore, you are required to ensure that items used in your free designs and blogs are in stock. If/when any of the items go out of stock, you agree to update the design rendering, shopping list and/or blog with a different appropriate item. This will not only help you continue to monetize your designs and blogs, but also demonstrate to the homeowners that you are determined to offer best service to the homeowners.
You understand that flipNook will review your free designs and blogs before they are published to the homeowners. Wherever revisions are required, flipNook will share ideas but since your free content on flipNook.com will help you build your brand, you agree to submit best quality content and create revisions if required.
If a client buys items from your designs, the transaction will be considered eligible to earn advertising commission as per merchants’ Terms and Conditions. If a buyer of goods does not return the purchased items and the return/exchange period has lapsed, merchants call such transactions as qualified for commission. Such transactions will be marked with 'pending payment' status on flipNook’s Designer Payment Screen. It can take anywhere from 90 days or more for the merchants to transfer commission amount to the publishers.
You understand that whether a transaction will be considered as qualified for commission is at the sole discretion of the merchant. flipNook shall not be held responsible if the merchant fails to report a sale to us or does not qualify a transaction as Qualifying Transaction. Further, we shall not be responsible in the event that may arise due to some technical or other error, where we cannot trace the purchase of the user and does not qualify the transaction as a Qualifying Transaction.
In the event that the merchant feels that the purchase is not genuine for any reason whatsoever and flipNook will not receive any commission for the transaction, in which case you will not receive any payout either.
Once the merchant transfers payout amount to flipNook, 85% of the payout will be will be added to your “Current Accumulated Commission” which you can check on flipNook’s Designer Payment Screen. This commission will be transferred to you via Payoneer when you have accumulated USD 50 or more by first business day of a month.
You understand that all transactions made by homeowners are not with flipNook, but with the online merchants. Further, from time to time merchants may increase or decrease the commission paid which will have a direct effect on commission offered to you. flipNook shall not be liable for any difference in the expected and the actual commission received by you.
flipNook payouts will be USD and currency conversions are subject to market change. flipNook will not be responsible for any difference due to currency conversion rate changes.
When working with the homeowners for bespoke design help, you will need to agree on the amount and payment mode with the homeowner.
At this stage, flipNook will not keep any commission from bespoke design help you provide to the homeowners. However, this can change in future solely based on flipNook’s discretion.
Since flipNook is not keeping any commission from bespoke designing help you give to the homeowners, you will have to agree on a payment mode, milestones and payment schedule with the homeowners. flipNook will not be responsible for any missed payments.
Nothing contained herein would obligate flipNook to be involved in any dispute arising, in any manner whatsoever. Also, nothing contained herein would make flipNook liable to pay any commission to you, if the commission has not been duly paid by the Merchant to flipNook or if flipNook has reasons to believe that such outstanding commission is no longer recoverable from the merchant(s). flipNook shall also not be liable for any loss, harm, liability or damage suffered by you, directly or indirectly, in this regard.
All communications with the homeowners should be via flipNook website only

Amazon is included in India flipNook affiliate partner list because Amazon is one of the preferred e-commerce websites to shop from by homeowners. Do note that at this stage, flipNook (and hence you) will not receive any product advertizing commission for Amazon product included in the Indian shopping list.
Keeping your interior design rendering and style in mind, it is ok to use an item from an online merchant that is not mentioned in the flipNook affiliate partner list. However, such merchants will not give flipNook (and hence you) any product advertizing commission.
You cannot ask a user (homeowner or designer) to change or remove their negative review or comment. You cannot also offer any compensation (monetary or service) in exchange for doing so. The right way to handle negative review is to reply publicly. When commenting, you can do the following:
Provide your perspective on the issue reported in the review
Describe what you did to solve a particular problem and why it will not happen again in the future
Show that you care about your customers/homeowners and that you offer an excellent customer service
Ask a customer to you contact you via flipNook Messaging so that you can help him with his problem. Reminder: You should not give your personal email address since all communications must be done via flipNook.
Refund of Subscription Plan Payment:
If for some reason you would like to cancel your flipNook subscription service, notify us via email at email@example.com as soon as possible with a reason for your request. We would like work with you to resolve any issues and do our best to continue to work together to serve our homeowners. If you still need a refund, it will be issued based on pro-rating by the number of days left in the subscription plan term.
You are responsible for paying any taxes, including any goods and services or value added taxes, which may be applicable depending on the jurisdiction of the services provided.
flipNook does not guarantee continuous, uninterrupted or secure access to its website that may not be possible as a result of high internet traffic, transmission problems, system capacity limitations, and other such problems. flipNook will not, in any case, be accountable for non-access to the Website, unanticipated outages or slowdowns, or communication loopholes with flipNook through the internet or other electronic or wireless device
You agree to indemnify flipNook against all liability, loss, claim, demand, damage or expense caused in relation to the use of flipNook.
Any violation of the terms and conditions listed in this document.
Any violation of then EULA and Terms of Service.
Sharing or disclosing its login details with any other person.
Any transaction with any merchant listed on flipNook.
This clause shall survive the expiry or termination of this Agreement.
